Taiwan Semiconductor announces a definitive agreement to acquire the Fairchild Semiconductor product line of transient voltage suppressor (“TVS”) Diodes from ON Semiconductor for up to $ 7.1 million, subject to customary adjustments. Through this transaction, Taiwan Semiconductor assumes ownership of the Fairchild TVS Diode product line, and obtains the rights to a non-exclusive license to use the Fairchild trademark for these TVS products for up to 30 months, subject to certain terms and conditions.
